REINSTATEMENT

A reinstatement is a process of returning an inactive or non-compliant company to good standing within a state. If your corporation or LLC fails to meet state operating requirements (including paying taxes, renewal business licenses and permits, filing annual reports, etc.) it may lose its “good standing” status with the state.  If you want your company to return to “good standing” status, simply fulfilling all the state obligations won’t be enough. You will be required to file a formal request to reinstate your corporation or LLC’s active compliant status.

What steps should I take to return my company to a good standing status?

First, you will need to resolve the incompliance that caused your LLC or Corporation to fall out of a good standing status. This may mean paying all back taxes and fees, filing required forms you failed to submit on time. After that, you can apply for your business reinstating by filing a form with the Secretary of State, and often with the Department of Revenue or Taxation. All states charge a reinstatement fee, you will need to check with your particular state how much you need to pay to return your business to a “good standing” status.

Will my LLC or corporation retain its initial formation date if it has lost and reinstated its good standing status with the state?

Yes, if your LLC or Corporation had to apply for reinstatement, it will retain its original date of initial registration with the state.

Is there a time limit for reinstatement?

Most states do have a time limit for business reinstatement. Some states (for example, Alabama) do not allow reinstatement at all if the company was administratively dissolved. Most states require administratively dissolved corporations or LLCs to apply for reinstatement to the Secretary of State within five years after the effective date of dissolution

Who is authorized to submit a reinstatement application?

A reinstatement application may be signed by the registered agent of the LLC or corporation, or by an officer, director, shareholder, or a member as indicated in the most recent annual registration filed with the Secretary of State.
